1. ACCEPTANCE OF TERMS

Welcome to Deliverton Corporation ("Deliverton," "we," "us," or "our"). By accessing or using our website, mobile application, or services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

These Terms constitute a legally binding agreement between you and Deliverton Corporation, a Wyoming corporation.


2. DEFINITIONS

  • "Service" means all delivery, logistics, and transportation services provided by Deliverton
  • "Customer" means any individual or business requesting delivery services
  • "Contractor" or "Driver" means independent contractors who provide delivery services through the Deliverton network
  • "Platform" means Deliverton's website, mobile applications, and related technology
  • "Shipment" means any item, package, or cargo transported via Deliverton services

3. DESCRIPTION OF SERVICES

3.1 Service Overview

Deliverton is a staffing platform, not a delivery company.
We recruit, vet, and place independent contractor drivers with businesses. We do not direct delivery operations, manage packages, or control daily work activities.

3.2 Service Availability

Services are currently available in select geographic areas. Deliverton reserves the right to expand, limit, or discontinue service areas at any time without notice.

3.3 Types of Services

  • Recurring/contract delivery services
  • Specialized transport (medical, legal, construction materials)

4. CUSTOMER TERMS

4.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use Deliverton services. Businesses must be properly registered and authorized to conduct business in their jurisdiction.

4.2 Account Registration

When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4.3 Delivery Requests

When submitting a delivery request, you represent and warrant that:

  • All information provided is accurate and complete
  • You have legal authority to ship the items
  • Items comply with all applicable laws and regulations
  • Items are properly and safely packaged
  • Declared value is accurate

4.4 Pricing and Payment

Pricing Structure:

  • Prices are estimates based on information provided
  • Final charges may vary based on actual distance, time, and circumstances
  • Pricing includes driver fees and platform coordination
  • Additional fees may apply for special handling, rush service, or after-hours delivery

Payment Terms:

  • Payment is due before delivery completion unless contract terms specify otherwise
  • Accepted payment methods: credit card, debit card, ACH, and approved purchase orders
  • Late payments may incur interest at 1.5% per month or the maximum legal rate
  • Failed payments may result in service suspension

Cancellation:

  • Cancellations made more than 2 hours before scheduled pickup: No charge
  • Cancellations within 2 hours of pickup: 50% cancellation fee
  • No-shows or refused pickups: Full delivery charge applies

4.5 Prohibited Items

You may NOT ship:

  • Illegal drugs, controlled substances, or drug paraphernalia
  • Firearms, ammunition, or explosives
  • Hazardous materials (unless specifically arranged with proper certification)
  • Stolen goods or counterfeit items
  • Live animals (except service animals with prior arrangement)
  • Cash or negotiable instruments over $500
  • Human remains
  • Perishable food items (without temperature control arrangement)
  • Items that violate intellectual property rights
  • Anything prohibited by federal, state, or local law

Shipping prohibited items may result in:

  • Immediate termination of delivery
  • Forfeiture of delivery fees
  • Account suspension or termination
  • Reporting to law enforcement
  • Liability for all damages and legal costs

4.6 Limitation of Liability

Deliverton's Liability is Limited:

  • Deliverton's maximum liability is limited to the fees paid for the specific driver placement giving rise to the claim.
  • Deliverton is not liable for: driver actions during assignments, accidents, lost/damaged cargo, delivery delays, or client-driver disputes.

Customer's Responsibility: BUSINESSES USING DELIVERTON AGREE TO:
- Supervise drivers during assignments
- Provide clear instructions and safe working conditions
- Not misclassify drivers as employees
- Maintain appropriate insurance
- Pay invoices within agreed terms

4.7 Insurance

  • Basic coverage up to $100 included in standard pricing
  • Additional insurance available for declared values over $100
  • Customer must declare accurate value at time of booking
  • Insurance claims must be filed within 48 hours of delivery completion

4.8 Disputes and Claims

  • Claims for loss or damage must be submitted within 48 hours
  • Claims require photographic evidence and detailed description
  • Deliverton will investigate all claims within 7 business days
  • Resolutions may include refund, redelivery, or payment up to insured value

5. INDEPENDENT CONTRACTOR DRIVER TERMS

5.1 Contractor Relationship

Drivers are independent contractors, NOT employees of Deliverton. This means:

  • You control when, where, and how you work
  • You are responsible for your own taxes, insurance, and expenses
  • You are not entitled to employee benefits (health insurance, workers' compensation, unemployment insurance, retirement benefits)
  • You may work for other companies simultaneously
  • Deliverton does not control your daily activities or methods

5.2 Driver Eligibility Requirements

To drive for Deliverton, you must:

  • Be at least 18 years old
  • Possess a valid driver's license
  • Own or lease a qualifying vehicle in good condition
  • Maintain commercial auto liability insurance (minimum $50,000)
  • Maintain cargo insurance (minimum $100,000)
  • Pass a background check (criminal and driving record)
  • Provide proof of vehicle registration and inspection
  • Agree to Deliverton's Independent Contractor Agreement

5.3 Background Checks

Deliverton conducts background checks including:

  • National criminal database search
  • Sex offender registry check
  • Driving record review (past 3 years minimum)
  • Ongoing monitoring for certain violations

Disqualifying factors may include:

  • Felony convictions within the past 10 years
  • Violent crimes or sex offenses (any timeframe)
  • Drug-related offenses within past 5 years
  • DUI/DWI within past 5 years
  • Multiple moving violations (more than 2 in the last 3 years)
  • License suspension or revocation

5.4 Vehicle Requirements

  • Vehicles must be properly registered and insured
  • Must pass basic safety inspection
  • Must be clean and presentable
  • Specific size requirements vary by delivery type (car, pickup, van, box truck)
  • Commercial plates NOT required for most deliveries
  • Vehicle is no more than 10 years old

5.5 Insurance Requirements

Required Coverage:

  • Commercial auto liability: $100,000 minimum
  • Cargo insurance: $500,000 minimum
  • Proof of insurance must be submitted before first delivery
  • Coverage must remain active at all times while accepting Deliverton deliveries

Important: Personal auto insurance typically does NOT cover commercial delivery activities. Drivers are responsible for obtaining proper commercial coverage.

5.6 Compensation

  • Drivers receive approximately 70% of customer delivery fees
  • Exact percentages specified in individual contractor agreements
  • Payment via direct deposit weekly (every Friday for prior week's deliveries)
  • Drivers are responsible for all vehicle expenses (fuel, maintenance, insurance)
  • Drivers receive 1099-NEC tax forms annually

5.7 Conduct Standards

Drivers must:

  • Conduct themselves professionally at all times
  • Treat customers, packages, and property with respect
  • Follow all traffic laws and safety regulations
  • Communicate clearly with customers and Deliverton
  • Deliver items to correct recipients with required proof of delivery
  • Protect confidential information
  • Report any incidents, accidents, or problems immediately

Drivers must NOT:

  • Use drugs or alcohol while making deliveries
  • Open, tamper with, or photograph package contents
  • Keep, sell, or dispose of packages improperly
  • Misrepresent delivery completion
  • Harass or behave inappropriately toward customers
  • Use Deliverton platform for personal errands
  • Accept cash payments directly from customers

5.8 Certification Requirements (Optional)

Certain specialized deliveries require additional certifications:

  • HIPAA certification: For medical deliveries involving protected health information
  • Bloodborne Pathogen certification: For lab specimens and medical waste
  • Chemotherapy certification: For hazardous pharmaceutical transport
  • TWIC card: For port and airport deliveries

These certifications are:

  • Optional and obtained at driver's own expense
  • Not required for standard deliveries
  • Qualification for higher-paying specialized routes
  • Maintained at driver's responsibility

5.9 Termination

Either party may terminate the contractor relationship at any time for any reason.

Deliverton may immediately terminate for:

  • Violation of these Terms or Contractor Agreement
  • Fraudulent activity
  • Safety violations
  • Customer complaints indicating misconduct
  • Loss of required licenses or insurance
  • Failed background check or criminal activity

Upon termination:

  • Driver must return any Deliverton property
  • Final payment made for completed deliveries

6. GENERAL PROVISIONS (APPLICABLE TO ALL USERS)

6.1 Intellectual Property

All content on the Deliverton Platform (logos, text, graphics, software, trademarks) is owned by Deliverton Corporation and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without written permission.

6.2 Privacy Policy

Your use of Deliverton services is subject to our Privacy Policy, incorporated by reference into these Terms. By using our services, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.

6.3 Communications

By creating an account, you consent to receive communications from Deliverton via:

  • Email
  • SMS/text messages
  • Push notifications (if using mobile app)
  • Phone calls

You may opt out of marketing communications but cannot opt out of transactional messages related to your deliveries or account.

6.4 Modifications to Terms

Deliverton reserves the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification. Continued use of services after changes constitutes acceptance of modified Terms.

6.5 Disclaimer of Warranties

DELIVERTON SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or quality of services
  • Uninterrupted or error-free operation

Deliverton does not guarantee delivery times and is not responsible for delays beyond reasonable control.

6.6 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Deliverton's total liability for any claim arising from use of services shall not exceed the greater of:

  • $100, or
  • The amount paid by you for the specific delivery giving rise to the claim

DELIVERTON IS NOT LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Actions of independent contractor Drivers
  • Delays, cancellations, or service interruptions
  • Third-party claims

6.7 Indemnification

You agree to indemnify, defend, and hold harmless Deliverton, its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of Deliverton services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you submit to the Platform
  • Your negligence or misconduct

6.8 Dispute Resolution

Mandatory Arbitration: Any dispute arising from these Terms or use of Deliverton services shall be resolved through binding arbitration rather than in court, except:

  • Small claims court matters under $10,000
  • Injunctive relief for intellectual property violations

Arbitration Terms:

  • Conducted under the American Arbitration Association (AAA) rules
  • Held in Fulton County, Georgia (or mutually agreed location)
  • Each party bears own attorney fees unless arbitrator awards otherwise
  • Class actions and class arbitrations are NOT permitted

JURY TRIAL WAIVER: YOU WAIVE YOUR RIGHT TO A JURY TRIAL for any disputes subject to arbitration.

6.9 Governing Law

These Terms are governed by the laws of the State of Georgia and federal laws of the United States, without regard to conflict of law principles. Venue for any non-arbitrable disputes shall be in Fulton County, Georgia.

6.10 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

6.11 Force Majeure

Deliverton is not liable for failure to perform due to circumstances beyond reasonable control, including:

  • Acts of God (natural disasters, severe weather)
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Strikes or labor disputes
  • Pandemics or public health emergencies
  • Utility failures or internet outages

6.12 No Waiver

Failure by Deliverton to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

6.13 Assignment

You may not assign these Terms or your account without Deliverton's written consent. Deliverton may assign these Terms at any time without notice.

6.14 Entire Agreement

These Terms, together with the Privacy Policy and any separate agreements (such as Independent Contractor Agreements or Equity Plans), constitute the entire agreement between you and Deliverton regarding use of our services.

8. ACKNOWLEDGMENT

BY USING DELIVERTON SERVICES, YOU ACKNOWLEDGE THAT:

  • You have read and understood these Terms
  • You agree to be bound by these Terms
  • You understand Deliverton uses independent contractors, not employees
  • You understand liability limitations and arbitration requirements
  • You have the legal capacity to enter into this agreement

IMPORTANT NOTICES:

FOR CUSTOMERS: Deliverton acts as a platform connecting you with independent drivers. We coordinate logistics but do not directly provide delivery services. Maximum liability is limited as specified above. Declare accurate values and purchase additional insurance for high-value items.

FOR DRIVERS: You are an independent contractor, not an employee. You are responsible for your own taxes, insurance, and business expenses. You receive no employee benefits. You must maintain required commercial insurance and follow all applicable laws.

FOR ALL USERS: Disputes are subject to binding arbitration. You waive your right to jury trial and class actions. Read these Terms carefully before using our services.
